End User License Agreement

Effective Date: December 16, 2024

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Redpoint Technologies ("Company," "we," "us," or "our") governing your use of the Redpoint application and related services (collectively, the "Service").

1. Description of Service

Redpoint is a financial analytics and property management platform that connects to third-party accounting services, including Intuit QuickBooks, to retrieve your financial data. The Service provides:

• Visualization of your financial transactions through graphs and charts
• Financial analytics and reporting tools
• Property management and reserve planning features
• Data organization and categorization capabilities

2. QuickBooks Integration

2.1 Authorization

When you connect your QuickBooks account to Redpoint, you authorize us to access your QuickBooks data through Intuit's official API. This connection is established through OAuth 2.0, Intuit's secure authorization protocol.

2.2 Data Access

Through the QuickBooks integration, we may access the following types of data:

• Transaction history and details
• Account balances and information
• Vendor and customer records
• Invoice and expense data
• Financial reports and summaries

2.3 Data Use Restrictions

We adhere to Intuit's data use requirements and commit to the following:

• Your QuickBooks data will only be used to provide the Service to you
• Your data will never be sold, rented, or leased to third parties
• Your data will never be used for advertising or marketing purposes
• Your data will never be shared with third parties except as necessary to provide the Service or as required by law

3. License Grant

3.1 Limited License

Subject to the terms of this Agreement, Redpoint Technologies grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

3.2 Restrictions

You agree not to:

• Copy, modify, or distribute the Service or any part thereof
• Reverse engineer, decompile, or disassemble the Service
• Attempt to gain unauthorized access to the Service or related systems
• Use the Service for any unlawful purpose
• Share your account credentials with third parties
• Use automated systems to access the Service without permission

4. User Responsibilities

4.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use of your account

4.2 Accurate Information

You agree to provide accurate, current, and complete information when using the Service and to update such information as necessary.

5. Intellectual Property

The Service, including all content, features, and functionality, is owned by Redpoint Technologies and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any rights to our trademarks or service marks.

6. Third-Party Services

The Service integrates with third-party services, including Intuit QuickBooks. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third-party services.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• The results obtained from the Service will be accurate or reliable

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REDPOINT TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

9. Indemnification

You agree to indemnify, defend, and hold harmless Redpoint Technologies, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service or violation of this Agreement.

10. Termination

10.1 Termination by You

You may terminate this Agreement at any time by discontinuing use of the Service and disconnecting your QuickBooks account through the Service settings.

10.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

10.3 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease
• We will delete or anonymize your data in accordance with our Privacy Policy
• The QuickBooks connection will be revoked

11. Modifications to the Agreement

We reserve the right to modify this Agreement at any time. We will notify you of any material changes by posting the updated Agreement on the Service and updating the "Effective Date." Your continued use of the Service after such changes constitutes your acceptance of the modified Agreement.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Redpoint Technologies is incorporated, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising out of or related to this Agreement or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may assert claims in small claims court if your claims qualify.

14. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Redpoint Technologies regarding the Service and supersedes all prior agreements and understandings.
